Commenting open for Grange Insurance Association’s request to form a mutual holding company 

The Insurance Commissioner requests comments on the proposed corporate action involving Grange Insurance Association (WAOIC #22101, WAOIC #534), a fraternal mutual insurer based in Seattle, Wash., authorized to write general casualty, marine & transportation, property, surety, and vehicle insurance products.

Grange filed documents under a Plan of Reorganization (PDF 7.45MB) with the Insurance Commissioner requesting approval to form a mutual holding company group that includes both Grange and Granwest Property & Casualty companies. Two new holding companies, a mutual holding company and an intermediate holding company, would be added within the existing Grange holding company group whereby Grange, as a converted stock property insurer, would be directly or indirectly controlled by these new companies. 

Grange, a mutual insurer, is controlled by its mutual policyholders who elect a board of directors to direct and oversee operations.
The proposed Plan of Reorganization outlines Grange’s current and future state, with steps and effects on policyholders’ contractual rights and membership interests as a mutual policyholder of a mutual insurer. Grange would have one year from the date of approval to implement the plan. 

The public and all interested parties, including Grange policyholders, are invited to submit letters of support, objections, or concerns and questions about the proposed reorganization on or before September 19, 2025. Please address all comments to:
